Job Summary: The Director of Compliance and Legal Affairs is responsible for ensuring the organization is in compliance with all federal, local, and/or private grant requirements, and will serve as the primary source of legal counsel for the organization. The Director of Compliance and Legal Affairs will establish effective and strong working relationships with critical leadership within and outside of the organization.



  • Draft all contracts for partnerships and projects
  • Establish positive working relationships with internal leadership to understand critical components of USI's work in order to more effectively draft agreements; work with outside organizations to negotiate successful partnerships
  • Provide USI Executive Team with counsel surrounding business and personnel decisions
  • Serve as primary contact for HR department, oversee critical personnel issues, and work to improve personnel procedures, including hiring of employees, onboarding of new employees, disciplines, and terminations, and troubleshooting
  • Lead in revision of employee manual
  • Review and analyze existing policies/procedures; recommend and draft revisions to existing or new policies/procedures
  • Interface with USI's Board of Directors, attending quarterly meetings and presenting critical compliance/legal issues as necessary


  • Train and inform leadership staff on critical compliance issues and reporting deadlines related to all grants/contracts, including federal grant compliance issues as detailed in 2 CFR 200
  • Assist staff as needed in submitting reports and answering questions
  • Conduct regular compliance calls with all site leaders to ensure effective and efficient communication
  • Assist with close-out of any grants or contracts
  • Correspond with grantor agencies to manage compliance issues
  • Lead on coordination for any grant audits
  • Assist with submission of grant applications
  • Serve as primary contact person for insurance brokers; review existing insurance policies and submit renewals
  • Create monthly timesheets for staff and work with Finance Team to analyze timesheets on a quarterly basis 


  • Work closely with Finance Team to gather and analyze documentation to submit to auditors for annual audit preparation, including 990 preparation
  • Work closely with auditors to assist in preparation of annual audit and single audit if applicable
  • Consistently work with Finance Team to implement financial procedures/trainings
  • Collect quarterly reports from project leadership related to annual audit
  • Assign and set up new job numbers for every contract/grant received
  • Assist in annual report filings for USI
  • Other duties as assigned.


Education and/or experience required:

  • License to practice law in State of Missouri required
  • Five years of related work experience required, with preference for experience in the not-for-profit or human services sector
